Breakfast as the Most Important Meal of the Day A. Introduction The client is health conscious and considers breakfast as the most important meal of the day. He only eats fresh and newly cooked foods. He believes that the microwave oven and ready heat meals are man’s worst inventions ever. However, he is currently on a morning workout routine which makes him too tired to cook. Hence, he is outsourcing the preparation of his daily breakfast. B. Scope of Work The client’s daily breakfast menu is comprised of: (1) Tossed green salad in balsamic vinegar and olive oil; (2) Eggs Benedict with bacon; (3) Roast sweet potatoes; (4) Cream dory fillet; and, (5) A cup of cappuccino. The vegetables in the salad must be organic and tossed three (3) minutes before serving time. The eggs must be brown; the client can tell the difference between brown eggs and white eggs even without the shells. The sweet potatoes must be the orange or violet varieties but they must not be mixed together in one serving. The fish fillet must be exactly three-fourths of an inch thick; incorrect thickness results in distinguishable change in texture and taste. The company must be able to replicate the client’s dishes and serve them hot at the terrace of his penthouse at exactly seven twenty o’clock in the morning (7:20 A.M.) everyday. A copy of his recipes are attached herewith and made an integral part hereof. He can easily tell if there have been deviations in the ingredients or the procedures specified in the recipe. When the client has guests, the company must be able to prepare and serve the same menu for two or more persons upon notice of at least eight (8) hours. Each breakfast menu shall cost not more than seventeen US dollars (USD17.00). Extra servings for the guests shall cost not more than nineteen US dollars (USD19.00). C. Requirements The food company shall assign only one cook to prepare my breakfast with two alternate cooks. At the commencement of the contract, the company shall furnish him with the names of the cooks together with their most recent photographs and medical evaluation report. The client shall have the right to demand a replacement of the assigned cook on account of poor health or unhygienic appearance. The foods must be placed on plain white oven-proof ceramic plates while the cappuccino must be served on a plain white ceramic mug. They must be served on a stainless steel tray with corresponding covers. The use of any plastic or polystyrene foam products is strictly prohibited. Violation hereof shall render the contract null and void, and shall make the company liable for liquidated damages. CONTRACT OF OUTSOURCING SERVICES This Contract of Outsourcing Services is made and entered as of July 11, 2011 by and between _________________, of legal age with residential address at _________________, hereinafter referred to as “The Client”; and _________________, a corporation duly organized and registered under the laws of the State of ________, with office and place of business at _________________, hereinafter referred to as “The Company”. WHEREAS, the client wishes to outsource the preparation of his daily breakfast to the company and the company likewise wishes to perform the food outsourcing work for the client. NOW THEREFORE, the parties have agreed to enter into an outsourcing services contract under the terms and conditions as follows: A. Specifications of Work The company shall prepare the client’s daily breakfast which is composed of: tossed green salad in balsamic vinegar and olive oil, eggs Benedict with bacon, roast sweet potatoes, cream dory fillet, and a cup of cappuccino. The food shall be served hot at the terrace of the client’s penthouse at exactly seven twenty o’clock in the morning (7:20 A.M.) everyday. The client may request for additional breakfast servings provided the company is notified within eight (8) hours. The company must be able to cook the client’s dishes according to the recipes provided by the client. The food shall be served according to the client’s specifications. The company must strictly comply with all the requirements pertaining to the preparation and presentation of food as set forth in the Statement of Work which is attached herein and made an integral part hereof. The company is obliged to ensure a continuous supply of all the ingredients required for the preparation of the client’s breakfast. However, in extraordinary cases, when the procurement of the specified ingredients is rendered impossible due to causes not attributable to the fault of the company, the next best substitute may be used with prior notice to the client. B. FEES and payment In consideration for the company’s services, the client shall pay the amount of seventeen US dollars (USD17.00) for each breakfast menu; additional servings shall cost nineteen US dollars (USD19.00) each. At the end of each month, the company shall send to the client a billing statement which shall be due, without need of further demand, every fifth of the following month. When the client fails to deliver the payment when it becomes due, the company has the right to desist from preparing and serving the client’s breakfast until the outstanding amount have been settled in full. C. PROPRIETARY PROVISIONS The client retains full ownership over the breakfast recipes. The company may not make use of or share the recipes without the prior written approval of the client. Violations hereof shall make the company liable for liquidated damages in the amount of fifty thousand US dollars (USD50,000.00). D. duration of contract This contract shall commence on the date of execution and shall remain effective for a period of three (3) months. Upon expiration, the client has the option to renew the contract with the same menu or with two different breakfast menus served in alternating days.
