The accounting treatment of partnership takes company as an entity which is separate from partners’ personal affairs (Horngren, Bamber, & Harrison, 2005). The major difference in the accounting of corporations and partnership is the calculation and disclosure of the capital of the organization. Corporations are required to prepare and publish audited annual and quarterly reports which could be accessed by shareholders. These annual reports contains statements including income statement, balance sheet, cash flow and changes in shareholders’ equity. Financial reports are not published for external users by partnership and tax return is submitted as part of individual tax forms.
There are different ways of identifying whether a company is a partnership or corporation. Firstly, partnerships and corporations fall in different tax regimes. In partnership entity is not liable for tax and it is deducted from owner’s personal income. IRS has set out guidelines for distinguishing between partnership and corporation. In addition to the characteristics discussed above if one partner has the power to dissolve company then the characteristics of corporation is absent. Shareholders of corporations can sell their stock to third party however in partnerships there is general lack of transferability. There is also centralization of management in partnership whereas in corporations there is a board of directors which comprise of company’s shareholders (Brickman, 1991).

...After reading the article Planning Ahead by Frederick Shea I further believe in the phrase the is king. In the accounting field professionals prepare themselves in order to gain higher levels of knowledge to meet the complex requirements of the field. Professional certifications such as a Certified Public Accountant (CPA) or Certified Financial Planner (CFP) can help aspiring business workers increase their income and better serve their customers. Over the years the consumer has become a bigger priority due to the global competition. If one company is not able to meet the needs of the consumers, another one will grab those clients. Due to the intense global competition factors other than price have become...

...such as fraud can happen. It is recommended then that the management hire additional personnel who can perform HR functions. Supervisors must not handle any monetary or financial concerns. In the existing case, the supervisor can report a bigger payroll (compared to actual ) to the accountant which is a situation we must avoid. Fraud is a serious matter, in fact a criminal offense. However, it is mainly the management’s responsibility to impose policies and set guidelines for its employees. Control features such as daily cash report and periodic audit must be institutionalized so that the company’s financial interest would be protected. I am very willing to discuss any matter which needs additional clarification....

...Noel Moitra Administrator, 2009-12-07 14:57 How to Put On a Coat There are well over a dozen types of coats, but for thespecific purposes of this Paper, I will describe how a simple single-breasted coat for men is to be put on. I will assume that the individual wanting to don the coat, i.e., you, can afford a coat hanger, on which your coat hangs vertically in your wardrobe. I will also assume that the coat has been freshly pressed, is wrinkle-free, and that you are right-handed. One or two trial runs should be enough to learn how to put on a coat. In a simple coat, the frontal left half overlaps the right, starting from just above the meeting point of the lapels. This means that the buttons... Moitra...

Tax Accounting II Case

...of Ethical Standards of Tax Professionals Q2. In your view is the position taken by Mr. Conor tax evasion or tax avoidance? This researcher views the position taken by Mr. Conor as not tax evasion since what he knew was that his tax accountant or CPA was presumed to have known and agreed that he was claiming the cost for artworks as deductible expenses. He should be presumed in good faith if there was any error. The fact that he asked his CPA subsequently about the possible deduction was a proof of that good faith. After inquiry, it was only at that point when the accountant denied having given consent on the prior claim for deduction made. In fact, he did not hide it to Mr. Schneider as his...

...three distinct economic scenarios as follows: i. Expansionary, Growth ii. Neutral, Stagnant iii. Contractionary, Recession iv. 2) Securitization Assume that there is a pool of loans that have been securitized. Assume the loans are conventional mortgage loans, either 15 or 30 year maturity. All loans are conforming. Which economic scenario would be comfortable owning a bond backed by the pool? I feel more comfortable with owning a bond categorized under the pool of neutral monetary condition and GDP output that is stagnating. If interest rates go below the coupon rate of the bond, investors may face prepayment risk. If interest rates increase, mortgage loans face high default risks. None of the two risks is better...

...THROUGHPUT ACCOUNTING AND OPTIMIZATION PART II THROUGHPUT ACCOUNTING AND OPTIMIZATION PART II Response to Ricardo Morales Your post is very insightful. Comparing it to the personal experience of my company however, I would like to provide an alternative to the strategy that you used in your organization. I find that the organization was more focused on employees becoming productive. Because of this, what employees received as wages was directly influenced by how much they contributed to overall income of the company. I believe this is a useful way to ensure that there is effectiveness among the employees (Jacob, Bergland & Cox, 2010). What the company has however not...

...FINANCIAL VS MANAGERIAL ACCOUNTING PART II FINANCIAL VS MANAGERIAL ACCOUNTING PART II Response to JOHN PEREZ There are a number of insights that I gained from reading your post. Most importantly, I developed the understanding and need for companies to clearly identify the difference between managerial accounting and financial accounting, as each of these play different roles for the organizations (Zimmerman, 2014). Adding up to your insight however, I would like to emphasize on the need for originations to take all these two forms of accounting very seriously. As you rightly stated, because financial...
