Business Law Introduction Any organization that seeks to set up business in any parts of the world has a responsibility to adhere to legal requirements governing the specific industry. On the same note, the laws normally govern the relationship between the organization and the employees as well as relations with other organizations within the organization. On the same laws govern the relationship between government and the organizations. In this regard, this report will address various laws that are useful to Coca cola for the purpose of establishment and functioning. The laws determine the relationship with different parties all through the running of the business. Further, through this report it is clear that the company has the duty to ensure strict observance of the different laws to reduce harm that any come as result of non-compliance. Intellectual property laws Given the sensitive nature of the business that the company (Coca cola) engages in, it is important to ensure that the company abides by laws intellectual property. Given that Coca Cola deals with secrets that must be protected. The advantage of this to the company is that they can protect their original ideas so that the inventions and innovations of the company. By listing their innovations and making use intellectual laws that protect their works. The essence of these laws is that they will encourage creativity in the company. Through these sought of these laws ensure that technologies are protected and that individuals who work to bring new ideas are encouraged to bring new innovations. The encouragement makes those involved in the innovation and secrets to enjoy the benefits of their hard earned labor. In this regard the company should protect intellectual property through copyrights, patents and trademarks (Edmonds, 2013). Through copy rights, the company is capable of protecting the expressive arts such as the shape of the bottles of soda. That would prevent any other person or organization from using or displaying such materials in the public. Patents, on the other hand, would protect the inventions of the company from being used by any other company. For example, Coca Cola ingredients are protected and that make them exclusive for the company. On the same note, the company can make use of trademarks to protect the name of the company from being used in any other place in the world. This also applies for products made by the company. Trademarks cover symbols as well. The essence of this law is that it deters competitors of the company from using the materials and identity of the company form being used elsewhere. In this regard, the company can make brands that well known all over the world and that would encourage customer loyalty. In case the intellectual property of the company is violated, the company can always easily seek legal redress. Similarly, in case any other company or organization seeks to use the identity of the company, they must seek permission and the permission is normally well rewarded. That would in turn act as revenue source for the company (Gale, 2007). Laws governing Business structure The structure of the business in this case the structure of Coca Cola is important to be recognized and the relevant laws structured. For example the company would need an agreement that would bind the shareholder so that all the parties engage in the right manner and get their own share of financial or non-financial investment return. Laws governing business premises Since the business would be set up within a given premise, it is important to have an understanding of the different; laws governing relationship between tenants and landlords. This kind of understanding is important because it enables an understanding on how and when the landlord can increase such things as rent, the responsibility of the tenants and landlords. Laws on financing and taxation Every organization and individual has a duty to pay taxes. In this light, the company must know the laws that govern how fiancés can be raised as well as the taxation obligation of the company because by so doing the company would reduce any legal actions that may be directed to it for failure to comply with taxes and financing laws. On the same note, the organization would know how to file for exemptions and other privileges that relate to its tax obligations (Ohorn, 2001). Goods and service provision laws In course doing business, every organization has a duty to ensure that obligation share met and this can are highlighted in laws that govern operation s between the organization (Coca Cola) and its business affiliates. Through these laws, the company would know its rights and obligations to other partners in business. The knowledge of these laws and adherence to such laws would ensure smooth running of the business to the benefit of all partners involved. Working conditions laws The very first law that the company should have are laws that govern working conditions in the company once it is set up. In this regard the employment laws govern the rights and obligations that the workers have as well as the rights and obligations of the company as the employer. For example the laws must categorically states that employment of any person a company must be at the free will of the person seeking employment. In this regard, the laws dictate that the employers cannot terminate the employment without adhering to laid down rules. On the same note, the laws dictate that employees are liberty to resign from work at any time so long as they offer reasonable (Gale, 2007). Disagreements and problems In course of business tractions there various possibilities that every business must prepare for all scenarios including disagreements among different parties. In order to advance from such situations, the company must know the laws that govern how conflicts among the parties are dealt with. That would encourage quick resolution of problems. For example through such laws, the company would know how to share the profits and dividends. They also govern how company can be governed in case there internal wrangles. These pieces of laws ensure that the company ca run even when there are wrangles and disagreements (Lorenzo, 2007). Health and safety laws Employees within organization must be subjected to healthy environment and safety in course of doing their activities. Through the legal frame works the employers have a duty to ensure they abide by safe working conditions. In this regard the company, in this case coca cola must ensure they identify all the risks that the employee can be exposed to in course of working. In this regard, the employer is equally supposed to carry out risk assessment. By so doing the frame work will ensure that the management can attach responsibility wherever risky things happen in the place of work. Through this frame, employees are trained on safety and health and how they should protect themselves. Once the company has ensured full implementation of these laws, they will help in ensuring that adequate amenity such as toilets and other washing facilities. Similarly, they will provide first aid facilities. The frameworks ensure that injuries and fatalities in the work place. Insurance covers must be provided. This is particularly important because they will reduce costs incurred when employees are injured and they want to sue the organization for damages. Discrimination laws Every organization in the world is mandated by the laws to ensure that discrimination of any kind is not allowed and this means that the organization must adhere to these laws. This would enhance productivity in the work place because employers fell that their rights are protected by the organization and that would offer them motivation to carry on with their jobs. The discrimination should avoid all types of including discrimination on basis of sex, gender religion origin and any other form of affiliation. In most cases, the most significant challenge that most organization face is discrimination on the basis of sex. Through these laws the organization will ensure that people are not discrimination. The moment the laws are adhered to will reduce discrimination while interviewing, job hiring promotion and compensation. The moment the organization disregards all forms of discrimination employees would be motivated to work (Ohorn, 2001). On the same note, Coca cola while discharging the mandate must ensure that employees respect the laws as well just as the management. The laws also ensure equal pay so that employees irrespective of their gender race or other affiliations are paid equally so long as they. In most organization women have been discriminated against and that has reduced the potential of women in carrying out their jobs. In this view, if coca cola ensures implementation of these laws they will enhance potential of women and that would suit the capacity of the company. Given that Coco cola is multinational company know all over the world, it must ensure that it perpetuates it good reputation that has been earned over many years. Adhering with the law will also help the company because it will reduce legal suits that can be brought against it in case any employee of the company brings such against the company. By so doing it will save time and money that would have been spent while dealing with those kinds of challenges (Ohorn, 2001). Child labor laws Many organizations of the world have had challenges relating to child labor and this means that Coca cola like other organizations must ensure that they adhere to laws that discourage employing children in the work place. Employers, in this Coca cola, have a duty to ensure that no people of minority of ages are employed because that can bring legal problems to the company. Child can occur in server instances and this means that the company has a responsibility to ensure that it is eliminated from all departments of the organization. On the same note, the company should ensure that all its affiliates including all those who work with including suppliers and, distributors and all another agents are not involved in child labor (Lorenzo 2007). In most cases most organization have involved in child labor through engaging them in minor things such that are often disguised but this eventually have a negative impact on the organization’s reputation. In this respect to avoid any challenges such as suits and bad image and negative reputation, the company must ensure that laws are followed and measure put to deter anything that would encourage child labor. This is particularly important for the organization because many countries of the world are grappling with child labor related cases. Succession planning Every organization must have a succession plan for various divisions in the leadership. To ensure efficiency and accountability whenever time for succession comes, it is important to appreciate the various laws that govern such plans. Many organizations in the world hat have existed for centuries have done so because of observing laws that govern succession in the organizations. These laws lay the structure and format that is used in case succession is warranted in the organization. They encourage understanding instead of confrontation whenever succession is required in the organization. In this regard all members know what is expected of them hence no need for fights and wrangles (Dunfee, 2006). Selling your business There some circumstances that may warrant the sale of ye business to other parties and for that to be carried out successfully, it is important to know the laws that govern suck kind of arrangements. Knowledge of these laws would ensure that the company gets the right share of what it deserves in the sale arrangement (Ohorn, 2001). In conclusion, it is evident that any organization, including Coca cola must know different laws that govern establishment and operation of business from inception to dissolution.
