As the final arbiter of the law, the other courts cannot thereby subvert but submit to its interpretation. Any contractual agreement involves an offer and acceptance. For the contract to be binding acceptance is a must which involve communication to the offeree, the terms of acceptance must match the terms of the offer and agreement must be certain. There must be an offer, which is legally binding and enforceable by law. Then there must be acceptance of the offer as they are proposed by the contract.

Then the contract must have the intention of legal consequence, which is legally binding. Finally, there should be consideration where for it to be binding it should be reinforced by valuable consideration. In case a written agreement never was finalized before it was signed, a dispute can come out because the parties involved in the formation of contract can assume that contract was made to be binding and enforceable by law courts. Negligence is harm caused by the deliberate leaving duties endorsed by the exercise of the care that a reasonably prudent person would exercise in like circumstances.

Tort on the other side is negligence that involves harm caused by carelessness, not intentional harm. Res ipsa loquita has it that element of duty of care and infringement can be sometime be inferred from the nature of accident or any other outcome, even without linkage of how many defendant behaved. Accident should satisfy the conditions stipulated for negligence. In exercise of commerce power, the hotel can override other common law by either receiving or rejecting guest. This is a provision in 1875, which prescribed discrimination in the inns and any other public conveyance like water The interstate law provide for the compensation of the wronged party because some can be discriminated by the law that affect travelers.
